Registered Agents
Illinois law requires corporations, limited liability companies, and certain other business entities formed in Illinois or authorized to do business in the state to designate a registered agent for the entity based in Illinois. When you are looking to start a business, you must include your registered agent's name and address in your Articles of Incorporation, Articles of Organization, or other business formation documents to be submitted to the Illinois Secretary of State.
A registered agent serves as the primary point of contact between the company and any other entity that would need to send important documents to the company, including state and federal governmental agencies. Registered agents are responsible for receiving paperwork such as:
- Service of process documents regarding disputes and possible litigation;
- Tax documents;
- Annual report forms; and
- Wage garnishment notices.
